These Terms of Service (ToS) govern the use of the NEUROFORGE Academy platform (hereinafter "Academy"), operated by NEUROFORGE, operated by BYTEC AG, Chamerstrasse 172, 6300 Zug, Switzerland (hereinafter "Provider"). By registering for and using the Academy, the participant accepts these ToS in full.
The NEUROFORGE Academy is a digital, neuroscience-based 90-day transformation program built on the Neural Imagery Protocol (NIP). The program includes:
Academy (Online): 10 modules with video content, AI-powered coaching through the virtual coach Leon, daily check-ins, HRV tracking, stress and mood monitoring, personal communication with the coach, and a digital cockpit for progress tracking.
Retreat (Offline): 7-day intensive retreat in the Swiss Alps, maximum 4 participants, 4 coaches, fully offline. Separate booking and terms apply.
Participation in the Academy is by invitation only. The Provider reserves the right to decline applications without stating reasons. Access is personal and non-transferable. Sharing login credentials with third parties is prohibited.
Academy: CHF 11,250 (includes lifetime access upon completion of the 90-day program).
Retreat: CHF 25,000 per person (Founding Cohort: CHF 22,500).
All prices are in Swiss Francs (CHF). Payment terms are agreed individually. The Provider reserves the right to temporarily suspend Academy access in case of payment default.
Leon is an AI-powered coach operated through the Anthropic Claude API (model: claude-opus-4-20250514). Leon provides daily Morning Check-ins, Evening Debriefs, and a 24/7 chat. Leon is not a therapist, physician, or licensed counselor. Leon's responses do not replace professional medical, psychological, or therapeutic advice. Participants should consult a healthcare professional for any health concerns.
Through the "Marc direct" feature, participants can send encrypted messages, voice messages, and photos to the coach. Live coaching sessions can be booked separately. Coach communication is end-to-end encrypted.
The Academy collects the following health-related data: heart rate variability (HRV, three times daily), subjective stress level (scale 1-10, three times daily), mood (six categories, three times daily). This data is used exclusively for progress tracking within the program and is not shared with third parties.
The Academy offers a speech-to-text function. Voice recordings are sent to a secure server (Cloudflare Worker), transcribed using OpenAI Whisper, and automatically deleted immediately after transcription. No permanent storage of audio data occurs.
Participants may enable push notifications for Morning Check-in and Evening Debrief reminders. Times are individually configurable. Push notifications can be disabled at any time in the Cockpit.
All Academy content, including but not limited to: videos, text, graphics, audio files, software, AI-generated coaching content, the Neural Imagery Protocol (NIP), the module structure, the Cockpit design, Leon's personality and prompts, and all related materials are protected by copyright and are the property of the Provider.
The participant is granted a personal, non-transferable, non-sublicensable right of use solely for the purpose of participating in the program.
The following is expressly prohibited:
(a) Recording, capturing, photographing, or otherwise reproducing Academy content by any technical means (screen recording, screen capture, camera, audio recording, or any other method).
(b) Creating screenshots, screenshot series, or systematic transcriptions of content.
(c) Sharing, forwarding, publishing, or making content accessible to third parties, whether for payment or free of charge, in part or in full, in original or modified form.
(d) Uploading content to platforms of any kind (social media, file-sharing services, forums, messaging services, cloud storage, or any other).
(e) Using content to create proprietary products, courses, coaching programs, or other commercial offerings.
(f) Using, replicating, or reverse-engineering the AI coaching component (Leon) or the underlying prompting system.
(g) Sharing access links, embed codes, or technical access mechanisms.
For each individual violation of Section 6, the participant owes the Provider a contractual penalty of CHF 50,000 (fifty thousand Swiss Francs).
In the case of continued or repeated violations, the contractual penalty doubles for each subsequent violation. The right to claim further damages, including lost profits and disgorgement of profits, is expressly reserved.
Each individual publication, each individual sharing, each individual recording, and each individual disclosure constitutes a separate violation. Sharing a recorded video with five different persons constitutes five separate violations.
The Provider is entitled to immediately suspend the participant's access without prior notice upon any violation. Payments already made will not be refunded.
Upon any violation of Section 6, the Provider is entitled to demand a penalty-backed cease and desist declaration. In the event of non-compliance with a signed cease and desist declaration, the additional contractual penalty amounts to CHF 100,000 (one hundred thousand Swiss Francs) per violation.
The Provider is not liable for damages arising from the use or unavailability of the Academy, particularly not for: technical disruptions, data loss, lost profits, or health consequences attributable to recommendations or content of the Academy.
The Provider's liability is limited to the amount paid by the participant. Participation in the program is at the participant's own responsibility.
As digital content is delivered immediately upon purchase, withdrawal after commencement of use is excluded (Art. 16(1)(m) EU Directive 2011/83, applied by analogy). Withdrawal is possible within 14 days of contract conclusion before program start.
The Provider may terminate the contract without notice in case of serious violations of these ToS. No refund is due in such cases.
All content, conversations with Leon and the coach, and personal data are treated as strictly confidential. The Provider undertakes not to disclose any personal data or conversation content to third parties, unless legally required or necessary for technical service delivery (see Privacy Policy).
The Provider reserves the right to amend these ToS at any time. Changes will be communicated to participants via email or push notification. Continued use of the Academy after notification constitutes acceptance of the amended ToS.
Swiss law applies exclusively, in particular the Swiss Federal Act on Data Protection (nDSG) and, where applicable, the EU General Data Protection Regulation (GDPR). Place of jurisdiction is Zurich, Switzerland.
Should any provision of these ToS be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.
